Leadership

Michael Harrington is the Chief Executive Officer of MBSI and its
sister company, MedAmerica. He brings over 20 years experience in healthcare,
including three years with Ernst & Young and five years with InfoMed Systems, Inc.
He served as the CFO for MedAmerica and as the key financial advisor for CEP
for twelve years, prior to his promotion to CEO in January 2002. Additionally, Mr.
Harrington has a long record of service to the American College of Emergency
Physicians as a lecturer at its management conferences. He is a member of the
Healthcare Financial Management Association, Medical Group Management
Association, and American Management Association. Mr. Harrington holds a B.S.
in accounting from St. Mary’s College and is a Certified Public Accountant.

James V. Proffitt III is Chief Operations Officer. Prior to joining
MBSI in 1999, he spent five years as Chief Executive Officer of Mission Medical
Associates, affiliated with Tenet Health Systems Partners, Inc. Previously, Mr. Proffitt served as Director
of Development-Affiliations for the Catholic Healthcare West Medical
Foundation, and Corporate Director of Finance and Budgets at Pacific Physician
Services Inc., a physician practice management company. He holds a B.A. in Finance from Cal State
University and an M.B.A. from the University of Redlands. He is a member of the Healthcare Financial
Management Association and the Medical Group Management Association.

Terrie Avila is Director of Operations and joined MBSI in
1999. In a previous role with the company, she acted as Director of Human Resources.
Ms. Avila currently oversees internal operations for the 350-member support teams in
medical billing and coding by maintaining daily contact with the operations managers,
division managers, and supervisors serving client ER and specialty sites in California,
Georgia, and Oregon. She is also an active member of the MBSI Compliance Committee.
Ms. Avila holds a Bachelor of Arts in Business/Economics from the University of Santa
Teresita and brings over 17 years of prior experience in both operations and the healthcare
industry, including 11 years at CIGNA. She is a member of the Healthcare Billing and Management
Association and the Society of Human Resources Management.

Tom Powers is Chief Corporate Compliance Officer for
MedAmerica and MBSI. He brings 26 years
experience as an attorney and training program director to bear
in leading MBSI’s regulatory and HIPAA compliance programs. His objective is to improve the
quality of services while reducing vulnerability to fraud, abuse, and waste.
Previously, he owned
and managed his own medical reimbursement company. Mr. Powers also served as General Counsel for a number of
governmental hospital authorities, including the U.S. Navy. He holds a B.A. from Oklahoma State
University, a J.D. from the University of Tulsa, and an L.L.M. from George
Washington University.
